Community Terms of Use

These terms (“Terms”) govern your use of the the Cornerstone Community (the “Site”) provided by Cornerstone OnDemand Inc., together with its wholly owned subsidiaries (collectively “Cornerstone”).

By accessing the Site, you agree to these Terms, the Community Guidelines, Cornerstone’s “Terms of Use” available at https://www.cornerstoneondemand.com/terms-of-use/, and Cornerstone’s “Privacy Policy” available at https://www.cornerstoneondemand.com/privacy-policy/.

1. Use of Site.

By uploading or creating any content, data, text, software, files, messages, and other information on the Site (your “Content”) you warrant that:

  • Your Content does not violate these Terms;
  • You have all rights and authority necessary to share your Content and make it publicly available;
  • You are at least 18 years of age; and
  • Your Content does not contain any other party’s confidential or non-public information.

By uploading your Content you grant Cornerstone a perpetual, non-exclusive, irrevocable, worldwide right to reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, modify, create derivative works of, exhibit, and otherwise use your Content. Please note that this license continues even if you stop using the Site. You are solely responsible for your Content, including any personally identifying information it contains. Cornerstone is not responsible or liable for any user content on the Site. Cornerstone reserves the right to pre-screen, monitor, and remove any content. You further agree that any post made on the Site may be viewable by all members of the Site and you have no expectation of privacy. Cornerstone grants you a personal, limited, nonexclusive, nontransferable, revocable privilege to access and use the Site.

2. Compliance with Laws.

You shall not use the Site for any other purpose not described in these Terms or interfere with or disrupt Site servers, databases, or any network connected to them; or use the Site to violate any law, statute, or regulation; or conduct any other illegal activity, or to harvest or otherwise collect information. You are responsible for your compliance with all laws and governmental regulations affecting your business and for any use you may make of the Site.

3. Access

Cornerstone may terminate your access to the Site at any time if you violate any of these Terms, Cornerstone’s Privacy Policy, or Terms of Use, or for any other reason, at Cornerstone’s discretion. If Cornerstone terminates your access, you agree that you will lose your right to use and access the Site, your user account may be deleted, and you may lose access to all your Content.

4. Decommissioning of Inactive Accounts.

Cornerstone reserves the right to decommission any accounts that it deems to be inactive or that belong to an employee who has since left the company who has purchased Cornerstone products or services. To assist with the proper decommissioning of inactive accounts, it is your responsibility to inform Cornerstone if you become aware a co-worker, who has also joined the community, is no longer at your company.

5. Modification of Terms.

Cornerstone may change, add, or remove any part of these Terms, and any part of the services and features of the Site at any time. Your continued use of the Site constitutes your acceptance of these Terms, and any changes to it.

6. No Intellectual Property Rights.

Your use of the Site does not give you any intellectual property rights to the Site, its content, or Cornerstone’s services, logos, name, or products. All rights, title, and interest in or to any copyright, trademark, service mark, trade secret, and other proprietary right relating to the Site and the related logos, names, etc. are reserved.
Cornerstone owns all Content and any feedback, ideas, or suggestions provided by members, and all content on the Site. If you choose to provide any Content or feedback to Cornerstone via the Site, you grant Cornerstone the right to use, without compensation or obligation to you, and without further approval, and all other rights thereto.
You shall not use Cornerstone's name, or that of any affiliate or subsidiary of Cornerstone, or any partner, or employee of Cornerstone, or any trade name, trademark, trade device, logo, service mark, domain name, symbol, or any abbreviation, contraction, or simulation thereof owned by Cornerstone or its affiliates or subsidiaries (collectively, the "Cornerstone Marks").
These Terms do not grant to you any right or license in, or to, any copyrights in any Cornerstone Marks, or materials or documentation of Cornerstone, or to any rights of copyright in or to Cornerstone’s other services or web sites.

7. Notice and Communications.

You agree to receive notice and other communications from Cornerstone in connection with the Site. You must keep your contact information current.

8. Dispute Resolution.

The laws of the State of California, excluding its conflict of laws provisions, govern these Terms. Disputes arising from these Terms will be litigated in the state or federal courts in Los Angeles, California.

9. Cookies

Cornerstone may use cookies, web beacons, and other technologies to track your activity on the Site in conformance with Cornerstone’s Privacy Policy.

10. No warranty; Limitation of Liability; Hold Harmless.

Cornerstone provides the Site as is, with no warranties of any kind. Cornerstone does not guarantee the accuracy, adequacy, or quality of any content on the Site. Cornerstone is not liable for any damages, injury, claims, or losses resulting from: your use of the Site or any of its content; other users’ use of the Site; or your interactions with other users on the Site. Cornerstone will not be liable for any special, indirect, incidental, consequential, or other similar damages including lost profits or damages for business interruption or loss of information, that you may incur or experience in connection with these terms or the program, however caused and under whatever theory of liability, even if Cornerstone has been advised of the possibility of such damages. You agree to hold Cornerstone harmless from and defend it against any claims or suits related to your use of the Site, your violation of these Terms, or your violation of any third party’s rights.

11. Account Security.

To access and use the Site you may be required to provide proper authentication including your user name, password, and any other authentication required by Cornerstone ("Authentication"). You are responsible for safeguarding the confidentiality of your Authentication and shall take all actions necessary to maintain the security of your Authentication. You are responsible for any use or misuse of your account resulting from any unauthorized use of your account or Authentication. You shall notify Cornerstone immediately of any known or suspected unauthorized access to or use of your account or Authentication.

12. Waiver.

The failure of you or Cornerstone at any time to enforce any right or remedy available under these Terms with respect to any breach or failure by the other party will not be construed as a waiver of such right or remedy with respect to any other breach or failure by the other party. You and Cornerstone agree that each is acting independently of the other, are not joint venturers, and that neither is an agent of the other. Nothing contained in these Terms is intended to create third-party beneficiaries of or under these Terms.

13. Other Users.

You shall not develop, derive, or transfer any contact data or other individuals’ personal information, or utilize, develop, export, or derive any content produced by other users.

14. Authority

If you are accepting these Terms or accessing the Site on behalf of another party, you warrant that you have been authorized by that party to accept these Terms.

15. Export Control.

You shall not access, download, use, or export any part of the Site, or the content, software, products, or services provided in violation of any country’s export laws or regulations or any other applicable laws or regulations. You shall comply with all export laws and restrictions and regulations of each applicable government agency or authority, including without limitation those of the U.S. government. You shall not, directly or indirectly, provide or otherwise make available Cornerstone’s services and products in violation of any such restrictions, laws, or regulations, or without all necessary approvals. Neither the Site, nor its underlying information or technology, may be downloaded or otherwise provided or made available, either directly or indirectly, (i) in any country subject to U.S. trade sanctions, to individuals or entities controlled by such countries, or to nationals or residents of such countries other than nationals who are lawfully admitted permanent residents of countries not subject to such sanctions; or (ii) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals and Blocked Persons or the U.S. Commerce Department’s Table of Denial Orders.

16. Third Parties.

The Site may contain links to websites and products offered by third parties. Such links do not indicate a partnership, joint venture, agency, or relationship between Cornerstone and any third party. Cornerstone disclaims all liability for any third party websites or products on the Site. You acknowledge the risk that exists from your interaction with third party websites or products and agree that Cornerstone is not responsible for any damages resulting therefrom.

17. No Job Postings.

You may not upload or post job openings or similar on the Site.



 

Partners Rules of Engagement for the Customer Community 

To ensure a positive and collaborative environment for everyone, we’ve established the following Rules of Engagement that all Partners must adhere to when participating in the Community. By engaging in our community, you agree to follow these guidelines. 

  1. Purpose of Community Participation

As a partner, you are invited to join the Community to discover resources, share best practices, and provide helpful answers to questions posed by customers. Our Community is a space for collaboration, knowledge sharing, and support, and we encourage you to contribute constructively to these discussions. 

  1. Helpful Engagement
  • Partners are encouraged to actively participate in the forums, groups, and other resources by sharing their expertise and providing insights that benefit the community. 
  • When engaging, please focus on helpful, educational, and collaborative responses. Share valuable resources, solutions, and tips that assist customers in solving challenges or improving their experience. 
  • Partners should not take the ondemand courses, certifications, nor attend live training sessions in the Cornerstone U platform. Cornerstone U resources are only for customers. You have visibility into Cornerstone U to know what’s available to customers—so you can better guide and support them. 
  1. Sales and Promotion Policy
  • No Direct Promotion or Sales: Partners are not permitted to use the Community as a platform to promote or sell their services, products, or solutions. This includes, but is not limited to, posting about your company’s offerings, providing unsolicited sales pitches, or encouraging others to reach out for business-related inquiries. 
  • Respectful Sales Engagement: If a customer expresses a specific interest in your services or requests to engage with you directly, you may respond and connect with them on a one-on-one basis. However, partners must never initiate sales conversations or encourage others to contact them regarding business or sales opportunities within the Community. 
  • Unsolicited Offers: Do not offer unsolicited promotions, discounts, or services to other community members. The Community is a space for sharing knowledge and fostering connections, not for sales. 
  1. Respectful Communication
  • Treat all members of the community, including customers and other partners, with respect, kindness, and professionalism. 
  • Avoid inflammatory language, aggressive sales tactics, or any behavior that could detract from the supportive atmosphere of the Community. 
  • Any form of spam, solicitation, or disruptive activity will not be tolerated. 
  1. Moderation and Enforcement
  • Our Community moderation team will consistently monitor the Community. Partners found to be engaging in prohibited sales behavior will face three stages of warnings: 
  • Warning #1: A message asking you to refrain from engaging in a specific behavior. 
  • Warning #2: A message informing you of the rule broken and your profile suspended for two weeks (14 days). 
  • Warning #3: A message informing you of the broken rule and your profile permanently suspended from the Community. 
  1. Accountability

By joining the Community and engaging in its discussions, you agree to abide by these Rules of Engagement. Failure to comply with these rules may result in restricted access to certain features, or complete removal from the Community. 

  1. Collaboration and Networking

While sales pitches are prohibited, the Community is an excellent place for networking, knowledge exchange, and building relationships. We encourage you to contribute, learn from others, and offer assistance where you can. Positive interactions and a focus on community growth will ensure that everyone benefits.
